Job description

This contract with our Rail client is for an Assistant Company Secretary for 4 months based in London. The contractor will be required to work from the offices 3 days per week – 9.00am to 5.00pm and the remaining 2 days remotely. The pay rate to candidate is £400 to £450 Umbrella or £293.79 to £330.52 PAYE.  

 

Responsibilities:  

- Organise and prepare agendas and take minutes of board meetings and annual general meetings.  

- Maintain statutory books, including registers of members, directors and secretaries.  

- Deal with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant stakeholders.  

- Contribute to meeting discussions and advise members of the legal, governance, accounting and tax implications of proposed policies.  

- Monitor changes in relevant legislation and the regulatory environment and taking appropriate action. Liaise with external regulators and advisers.  

- Responsible for the health and safety of employees and managing matters related to insurance and property.  

- Develop and oversee systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.  

- Secretary will advise on Governance.  

- Agreement between the client and DfT – they make sure they abide by it and abides the agreement rules.  

- Projects – new stations, railway lines – these will need approval – secretary is making sure that everyone knows how to write a board paper, they create agenda for committee meetings.  

- Preparing board packs for the directors.  

- Looking after the inbox and responding to executive leadership team related queries.  

 

Requirements

- Candidates must be qualified to ACIS or ACG level and have at least 5 years’ experience at board level.  

- Able to write well  

- Excellent communication skills both written & verbal  

- Minute extracts, minutes  

- Comfortable in working autonomously  

- Quick learner  

- Confident  

- Sense of prudence  

- Understanding of governance  

- Ability to work under pressure  

- Tolerant
